Terms of Service
These terms are an agreement between you, the merchant installing LoyalXP on your Shopify store, and Suryanarayana Enterprises LLP, India ("we", "us"), which runs LoyalXP as part of its KerbCode product line. By installing or using LoyalXP you accept them.
1. The service
LoyalXP lets you run a loyalty and referral programme on your Shopify store: points, redemption, expiry, levels, offers, referrals and the storefront blocks that show them. Features differ by plan and may change as the product develops. Our Privacy Policy explains how we handle data.
2. Plans and billing
- Free: up to 100 paid orders a month, with loyalty and referral using points rewards.
- Pro: $15 a month, including 250 paid orders. Each further block of 250 orders is $5, charged as a Shopify usage charge.
- All charges are billed by Shopify through Shopify Billing, on your Shopify invoice. Usage charges never go above the monthly cap you approve in Shopify.
- If your store goes over the Free limit, earning continues for 14 days with a notice in your admin, then pauses until you change plan. Billing never changes your customers' balances or their ability to redeem.
- Refunds of charges follow Shopify's billing rules. Prices may change with notice under section 8.
3. Your programme, your rules
You decide your programme's rules: earning rates, rewards, expiry, levels and referral terms. You are responsible for those rules, for the terms you show your customers, and for meeting the consumer, tax and privacy laws that apply to your store. You must have a lawful basis to share customer data with us for the programme.
4. Points are not money
Points, XP and levels are promotional rewards you offer. They are not currency, have no cash value, cannot be bought or sold, and are redeemable only as your programme allows. We do not issue points on our own account and are not liable for rewards you promise your customers.
5. Acceptable use
Don't use LoyalXP to break the law or Shopify's terms, to defraud customers, or to interfere with the service. We may suspend or end your access, or pause earning on your programme, if we reasonably believe there is abuse or fraud, including referral fraud, or a risk to other merchants or the service. Where we can, we tell you first and give you a chance to fix it.
6. Ending the agreement
You can stop at any time by uninstalling the app. We may end the service with 30 days' notice, or immediately under section 5. After uninstall, data is deleted as described in the Privacy Policy.
7. Warranties and liability
We provide LoyalXP with reasonable care, but on an "as is" basis, without promises that it will be uninterrupted or error-free. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost data, and our total liability for any claim is limited to the fees you paid us for LoyalXP in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.
8. Changes to these terms
We may update these terms. We give installed merchants at least 30 days' notice in the app or by email before a material change, including a price change, takes effect. Continuing to use LoyalXP after that means you accept the change.
9. Law and courts
These terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction.
